Please read these terms carefully before using the AI Control Plane Gateway managed service.
By accessing or using the AI Control Plane Gateway managed service ("Service"), its website at aicontrolplanegateway.com, or any related software or API, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use the Service.
These Terms apply to the managed/hosted service. Use of the open-source software under the Apache 2.0 license is governed solely by that license and is not subject to these Terms.
AI Control Plane Gateway provides a hosted, OpenAI-compatible API proxy that routes requests to large language model (LLM) providers. The Service includes PHI/PII redaction, prompt injection blocking, semantic caching, cost optimization, agentic governance, and observability features ("Features").
The Service is provided on a subscription basis. Features available to you depend on the subscription tier you have selected.
To use the managed Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your API keys and account credentials. You agree to notify us immediately at [email protected] if you suspect unauthorized access to your account.
You may not share your account with multiple organizations. Each organization must maintain its own account and subscription.
You agree to use the Service only for lawful purposes. You may not use the Service to:
If you are a HIPAA-covered entity or business associate intending to process Protected Health Information (PHI) through the Service, you must execute a Business Associate Agreement (BAA) with us prior to transmitting any PHI. BAAs are available under the Enterprise plan and the Healthcare Compliance Add-On.
Without a signed BAA, you may not use the Service to process PHI. The PHI redaction features are designed as a defense-in-depth measure — they do not, by themselves, satisfy HIPAA compliance obligations absent a BAA and appropriate administrative and technical safeguards.
Subscription fees are billed in advance on a monthly or annual basis, as selected at the time of purchase. All fees are non-refundable except as required by law or as explicitly stated in these Terms.
If you fail to pay fees when due, we may suspend or terminate your access to the Service. Prices are subject to change with 30 days' written notice.
Annual subscriptions are discounted 20% relative to monthly billing. Annual subscription fees are charged in full at the start of the billing period.
We may offer a free trial period for the Professional plan. During the trial, you have access to Professional features without charge. At the end of the trial, your subscription converts to a paid plan unless you cancel before the trial period ends. No charge is made without your explicit confirmation of payment method.

Service credits are your sole remedy for SLA failures. Credits are calculated as a percentage of the affected monthly fee and applied to future invoices.
Our collection and use of personal data is described in our Privacy Policy. In connection with the Service:
You retain full ownership of all data you transmit through the Service. By using the Service, you grant us a limited, non-exclusive license to process that data solely to provide and improve the Service.
The open-source code of the AI Control Plane Gateway is licensed under the Apache License 2.0. The managed Service, documentation, trademarks, and website content (excluding the Apache 2.0 code) are the proprietary intellectual property of AI Control Plane Gateway and its licensors.
You may not use our name, logo, or trademarks without prior written consent, except as permitted by applicable law.
The Service routes requests to third-party LLM providers (e.g., OpenAI, Anthropic, Azure). Your use of those providers is subject to their respective terms of service. We are not responsible for the actions, policies, or availability of third-party providers. You are responsible for ensuring your use of those providers complies with their terms.
Your LLM provider API keys are stored encrypted and used solely to forward your requests. We do not access your provider accounts for any other purpose.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be error-free, uninterrupted, or that PHI redaction will be 100% accurate in all cases. The PHI redaction feature is a best-effort system and should be validated as part of your broader compliance program.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AI CONTROL PLANE GATEWAY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).
You agree to indemnify and hold harmless AI Control Plane Gateway, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any PHI or regulated data you transmit without a required BAA.
Either party may terminate the subscription at any time. Upon termination, your access to the managed Service will cease. You remain liable for any fees incurred prior to termination.
We may suspend or terminate your access immediately if you violate these Terms, engage in abusive or fraudulent behavior, or if required by law.
Upon termination, we will retain your audit logs for 30 days (or as required by your plan) to allow you to export them, after which they will be deleted in accordance with our Privacy Policy.
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, conducted in English. Class action waivers apply — you waive the right to participate in class-action lawsuits.
We may update these Terms from time to time. We will notify you of material changes by email or prominent notice on the website at least 30 days in advance. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
